These Terms of Service ("Terms") constitute a legally binding agreement between you and Trendomatic GmbH ("Company," "we," "our," or "us") regarding your use of Ralph, our autonomous AI-powered data room intelligence solution.

By accessing or using Ralph, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our service.

2. Description of Service

Ralph is an autonomous AI agent designed specifically for private equity firms to analyze data room documents, identify risks and opportunities, and provide intelligent insights for due diligence processes.

2.1 Beta Service

Ralph is currently offered as a private beta service. Beta features may be modified, discontinued, or may not function as expected. We reserve the right to modify service capabilities during the beta period.

2.2 Private AI Infrastructure

Ralph operates on our proprietary, private AI infrastructure. Your data is processed using our own models and never shared with third-party LLM providers.

3. Eligibility and Registration

3.1 Eligibility

Ralph is intended for use by qualified private equity professionals and institutional investors. By using Ralph, you represent that:

• You are at least 18 years of age
• You have the authority to bind your organization to these Terms
• You are using Ralph for legitimate business purposes
• Your use complies with applicable laws and regulations

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

4. Acceptable Use

You agree to use Ralph only for lawful purposes and in accordance with these Terms. You shall not:

• Upload or analyze any illegal, harmful, or confidential content without proper authorization
• Attempt to reverse engineer, modify, or create derivative works of Ralph
• Use Ralph to violate any applicable laws, regulations, or third-party rights
• Interfere with or disrupt the service or servers
• Share access credentials with unauthorized parties
• Use the service for competitive intelligence against our company

5. Data and Privacy

5.1 Your Data

You retain all rights to the data and documents you submit to Ralph. We process your data solely to provide our analysis services and in accordance with our Privacy Policy.

5.2 Data Security

Any feedback, suggestions, or improvements you provide regarding Ralph may be used by us without restriction or compensation.

7. Service Availability

We strive to maintain high service availability but do not guarantee uninterrupted access. We may temporarily suspend service for maintenance, updates, or due to circumstances beyond our control.

8. Disclaimers and Limitations

8.1 Service Disclaimer

Ralph is provided "as is" without warranties of any kind. We disclaim all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

8.2 AI Analysis Disclaimer

Ralph's AI analysis is designed to assist with due diligence but should not be considered as professional advice. You should always verify findings and consult with qualified professionals for investment decisions.

8.3 Limitation of Liability

To the maximum extent permitted by law, our total liability for any claims arising from these Terms or your use of Ralph shall not exceed the fees paid by you in the 12 months preceding the claim.

9. Indemnification

You agree to indemnify and hold harmless Trendomatic GmbH from any claims, damages, or expenses arising from your use of Ralph, violation of these Terms, or infringement of third-party rights.

10. Termination

Either party may terminate these Terms at any time with notice. We may immediately suspend or terminate your access if you violate these Terms. Upon termination, your right to use Ralph ceases immediately.

11. Governing Law

These Terms are governed by German law. Any disputes shall be resolved in the courts of Berlin, Germany.

12. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes via email or through our service. Your continued use after such changes constitutes acceptance of the modified Terms.
